No Warranty. Each Party agrees that it is not entitled to rely on the accuracy or completeness of the Confidential Information. Accordingly, each Party acknowledges that neither the other Party, nor any of the other Party’s Representatives, makes any express or implied representation or warranty as to the accuracy or completeness of any Confidential Information and each Party agrees that none of such persons shall have any liability to it or any of its Representatives (a) for any errors therein or omissions therefrom or (b) relating to or arising from use of any Confidential Information by such Party or any of its Representatives.
Residuals. Either Party shall be free to use for any purpose residuals resulting from access to or work with the Confidential Information, provided that such Party shall maintain the confidentiality of the Confidential Information as provided herein. The term “residuals” means information in non-tangible form, which may be retained without extraordinary effort by persons who have had access to the Confidential Information in the normal course of their use or review of Confidential Information pursuant to this Agreement, including knowledge, ideas, concepts, know-how or techniques contained therein. Neither Party shall be obligated to limit or restrict the assignment of such persons on other projects or transactions or to pay royalties for any work resulting from the use of residuals. However, the foregoing shall not be deemed to grant either Party a license under the other Party’s copyrights or patents.
