Neither the execution of this Agreement, nor the disclosure of any Proprietary Information shall be construed as granting to the receiving Party either expressly or by implication, estoppel or otherwise, any right or licence under any intellectual property right now or hereafter owned or controlled by the Party providing the information, except to the extent necessary for the receiving Party to performing its role referred to in the Recital.
Any information, Proprietary or otherwise, disclosed by a Party shall not contravene this Agreement if such disclosure is necessary to comply with the laws of England and Scotland or the regulations of a recognised Stock Exchange or both.
